Risk of Investment

Start-Up and Equity Crowdfunding, including those offered through Fusion Funder, is considered to be risky and highly speculative given the present stage of development. Issuers are not subject to the same obligations of disclosure as reporting issuers. As a result of these factors, an investment in these projects is only suitable for those investors who are willing to rely solely on management of the issuer and who can afford to lose their entire investment. Those investors who are not prepared to do so should not invest in a crowdfunding project. You may never earn any income or dividends and may never be able to sell the securities. Ongoing updates about your investment is solely the responsibility of the specific company you invest in. There is no regulatory mandate to require periodic reporting.

 

Review or Approval

Equity Crowdfunding does not require a review or approval, in any way, by any securities regulator. You will not have the same legal rights as an investor placing an investment in a stock exchange. By accessing Fusion Funder, its services and products, you consent with, and agree to be bound by Fusion Funder’s Terms & Conditions and Privacy Policy (listed on the footer of this site). Fusion Funder is an Equity Crowdfunding portal, also called a Crowdfunding or Start-Up Portal, and is not registered under Canadian securities legislation. Founders must register and meet Fusion Funder’s business guidelines during their on-boarding. Fusion Funder does not provide investment advice on the merits or suitability of any investment and cannot provide advice on any investment. Fusion Funder does not provide guidance on accounting or taxes of any investment offered through the Fusion Funder platform.

 

Fusion Funder Platform

Fusion Funder is an unregistered Start-Up Crowdfunding Portal pursuant to the Multilateral CSA Notice 45-316 Start-up Crowdfunding Registration and Prospectus Exemptions, in the province of British Columbia, BC Instrument 45-535). “The securities regulatory authorities (the participating regulators or we) of British Columbia, Saskatchewan, Manitoba, Québec, New Brunswick and Nova Scotia (the participating jurisdictions) are adopting substantially harmonized registration and prospectus exemptions (together, the start-up crowdfunding exemptions) that allows start-up and early-stage companies to raise capital in these jurisdictions, subject to certain conditions. The participating regulators have implemented, or expect to implement, the start-up crowdfunding exemptions by way of local blanket orders (the start-up crowdfunding exemption orders)”. The content and information in the Fusion Funder Terms and Conditions describe the regulatory and legal restrictions connected with Fusion Funders services. The content, information and services provided by Fusion Funder shall not be considered a solicitation to purchase or sell securities.

 

Products and Services Information

The Fusion Funder products and services and all information contained in this website and provided by Fusion Funder should not be considered an offer or a solicitation to purchase or sell any securities. Only qualified purchasers that are applicable under specific provincial Crowdfunding exemptions may make offers to purchase securities of a “Founder Business” in relation to the Crowdfunder’s Document of Offering and after reviewing all information and accepting risks and following such on-line processes to check off specified documents including the Risk Acknowledgement Form. All Founders of company projects which on-board and meet the qualifications for company offering may offer securities for Crowdfunding under Fusion Funder. Each company must meet exemption guidelines from prospectus requirements under their provincial location specifications. Fusion Funder will provide reasonable steps during the investor registration and during the founder on-boarding process to satisfy eligibility requirements for investors and companies. Fusion Funder does not make representations or guarantee the eligibility of founder companies or investors. All information provided by Fusion Funder is for informational purposes only. It is an investors responsibility for review of any financial, tax or legal implications on any investment on this site. FusionFunder.ca is offered in Canada for Canadian companies.
